A standard company is faster and simpler; a promoted company trades process and reporting for ownership and tax benefits.
Standard Thai limited company
Incorporation is comparatively quick and inexpensive, and there are no promotion conditions to maintain. The constraints are foreign shareholding limits in restricted activities and the standard work permit quota tied to capital and Thai employment.
BOI-promoted company
Promotion adds an application stage, project substance requirements and ongoing reporting. In exchange it can deliver foreign majority ownership in the promoted activity, tax privileges and a smoother path for skilled staff.
How to decide
Decide on the basis of the activity and the ownership requirement, not the tax holiday. If your activity is unrestricted manufacturing and you need speed, a standard company may be right. If you need full foreign control in a restricted service activity, promotion or a licence becomes central.
